In consideration for its services hereunder, the Adviser generally shall receive an Advisory Fee equal to the greater of 0.95% per annum of the fair market value on all accounts within a household of assets up to $2,000,000, 0.50% per annum of the fair market value on assets from 2,000,001 through $10,000,000 and 0.25% per annum on the fair market value on assets over $10,000,000 or a minimum fee (an amount that will not exceed 1.50 percent per annum).

The fair market value of the Account means the sum of the fair market value of the securities and cash balances in the Account.  The fair market value of marketable securities is the price provided by the custodian holding the Account.  The Adviser does not independently value any securities held in client accounts. 

The Advisory Fee is payable monthly in arrears, with payment due within 45 days from the date of the invoice. The Fee for a partial month at the commencement or termination of this Agreement will be prorated based on the number of days the Account was provided services during the month. 

The Advisory Fee shall be adjusted at the end of each month with respect to additions or withdrawals by the Client in such months in accordance with the portion of such period that such addition or withdrawal was part of the Account.  Within 45 business days after the final day of the quarter in which such interim additions or withdrawals occur, Client shall make final payment to Adviser, or Adviser shall make a refund to Client, in accordance with the pro-rated Advisory Fee.

The Adviser may modify the terms in this Section 5 prospectively on at least 45 days’ prior written notice.  Advisory Fees generally are negotiable, and are deducted directly from Accounts unless otherwise agreed. At the sole discretion of the advisor, it may choose to deduct fees due by one account within the household from a different account of the same household as long as the total fees charged do not exceed that owed in aggregate by all accounts of the household.

Performance information is provided for due diligence purposes only, we don’t believe it should be used for marketing purposes and do not think investors should try to use prior performance as a way to gauge future performance. We are evidence-based and passive in our investment philosophy and do not think we or anyone else can predict future performance of markets. 

The performance information presented reflects the deduction of advisory fees, brokerage or other commissions, and any other expenses that a client would have paid or actually paid. Performance also includes reinvestment of dividends and other earnings where applicable.

WealthFactor offers its investment services through personalized investment plans.  These can vary dramatically from one customer to another based on the unique financial situation, goals and objectives for each client. The largest driver to performance differences is typically the target level of stocks in the portfolio (or amount of total risk). We have organized our composites by approximate target levels of exposure to stocks but within each composite there can be variability and thus dispersion.  Additionally, the following may cause a client’s performance to deviate materially from other portfolios within the same composite.

    1. We exclude the performance of partial months for composite calculations
  2. Deposit & Withdrawal timing
  3. Low cost basis stocks that are not sold for tax reasons
  4. Trades conducted for tax loss harvesting purposes
  5. Client preference to hold specific stocks not recommended by WealthFactor
  6. Custom index selected by client (other than Russell 1000 or Russell 3000)
  7. Dollar cost average and downside acceleration based investment plans.
    1. Plans implemented prior to the pandemic generally provided performance that is better than that of the target level of stocks for those clients
    2. Plan implemented after the pandemic generally provided performance that is less than that of the target level of stocks for those clients
  8. Small number of accounts per composite
  9. Large accounts and their deviations will have a disproportionate impact because of dollar weighted calculations on one specific composite

Some of the client accounts we have are similar and representative of our investment management work. Some are too unique and specific and cannot be included practically in a composite and have been categorized as “Custom”.

Client monthly performance data was obtained from Interactive Brokers, the custodian of WealthFactor’s client accounts.  It is believed to be accurate but WealthFactor provides no assurances of its accuracy. Composites are calculated utilizing a dollar weighting. Composite calculations have not been audited. WealthFactor does not claim to meet Global Investment Performance Standards (GIPS). 

Custom composite comparatives are needed for most our portfolios.  We've built a tool to assist in this. This tools is intended to blend the return for a portfolio of exchange traded funds intended to represent a blend of five major asset classes:

VTI - Vanguard Total Stock Market ETF - The investment seeks to track the performance of a benchmark index that measures the capitalization weighted investment return of the overall US stock market.

VOO - Vanguard S&P 500 ETF - The investment seeks to track the performance of the Standard & Poor's 500 Index that measures the investment return of large-capitalization stocks.

VXUS - Vanguard Total International Stock Index Fund ETF Shares - The investment seeks to track the performance of a benchmark index that measures the investment return of stocks issued by companies located in developed and emerging markets, excluding the United States.

VWO - Vanguard FTSE Emerging Markets Index Fund ETF Shares - The investment seeks to track the performance of a benchmark index that measures the investment return of stocks issued by companies located in emerging market countries.

VUG - Vanguard Growth Index Fund ETF Shares - The investment seeks to track the performance of the CRSP US Large Cap Growth Index that measures the investment return of large-capitalization growth stocks.

VTV - Vanguard Value Index Fund ETF Shares - The investment seeks to track the performance of the CRSP US Large Cap Value Index that measures the investment return of large-capitalization value stocks.

VYM - Vanguard High Dividend Yield Index Fund ETF Shares - The investment seeks to track the performance of a benchmark index that measures the investment return of common stocks of companies that are characterized by high dividend yield.

VB - Vanguard Small-Cap Index Fund ETF Shares - The investment seeks to track the performance of the CRSP US Small Cap Index that measures the investment return of small-capitalization stocks.

VGIT - Vanguard Intermediate-Term Treasury Index Fund ETF Shares - The investment seeks to track the performance of a market-weighted Treasury index with an intermediate-term dollar-weighted average maturity.

VGSH - Vanguard Short-Term Treasury Index Fund ETF Shares - The investment seeks to track the performance of a market-weighted Treasury index with a short-term dollar-weighted average maturity.

AGG - iShares Core U.S. Aggregate Bond ETF - The Fund seeks investment results that correspond generally to the price and yield performance of the total United States investment grade bond market as defined by the Barclays Capital U.S. Aggregate Bond Index.

VBINX - Vanguard Balanced Index Fund Investor Shares - The investment seeks to track the performance of a benchmark index that measures the investment return of the overall U.S. stock market with 60% of its assets; the fund seeks to track the performance of a broad, market-weighted bond index with 40% of its assets.
